1. Services

1.1 Platform Services

ClaimIQ provides a software platform for Ford and Lincoln warranty claim management, including AI-powered claim coaching, risk scoring, denial tracking, appeal assistance, knowledge base access, and training resources ("Platform Services"). Platform Services are subject to the subscription plan selected during registration.

1.2 Managed Warranty Administration

ClaimIQ offers managed warranty administration services under a separate Managed Warranty Administration Agreement. Where there is a conflict between these Terms and the Managed Warranty Administration Agreement, the Managed Warranty Administration Agreement governs.

1.3 Consulting and Training Services

Consulting and training engagements are governed by separate Warranty Consulting Agreements and Warranty Administrator Training Agreements. These Terms apply to your general use of the platform in connection with those engagements.

1.4 Ford and Lincoln Exclusivity

ClaimIQ's platform and services are designed exclusively for Ford Motor Company and Lincoln Motor Company warranty administration. Use of ClaimIQ for warranty programs of any other original equipment manufacturer is not supported and not permitted.

2. Accounts and Access

2.1 Eligibility

You must be at least 18 years of age and an authorized employee of a franchised Ford or Lincoln dealership to use ClaimIQ. By creating an account, you represent that you meet these requirements.

2.2 Account Registration

You agree to provide accurate, current, and complete information during registration and to update that information as necessary. ClaimIQ uses one-time password (OTP) authentication. You are responsible for keeping your email address accessible and secure.

2.3 Authorized Use

Your account may only be used for the dealership identified during registration. You may not share your account with users at other dealerships without purchasing additional rooftop licenses under an eligible plan.

2.4 Account Suspension

ClaimIQ reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, submit inaccurate warranty documentation, or are used for unauthorized purposes.

3. Subscription and Payment

3.1 Subscription Plans

Platform Services are available through monthly or annual subscription plans (Solo, Pack, Group). Subscription terms, features, and pricing are described on our pricing page. Prices are subject to change with 30 days' notice.

3.2 Free Trial

ClaimIQ may offer a free trial period. You will not be charged during the free trial. If you do not cancel before the end of the trial period, your subscription will begin and you will be charged according to your selected plan.

3.3 Billing

Subscriptions are billed through Stripe. By providing payment information, you authorize ClaimIQ to charge your payment method for recurring subscription fees. Annual subscriptions are charged in full at the start of each annual period.

3.4 Refunds

Monthly subscription fees are non-refundable. Annual subscription fees may be refunded on a pro-rated basis for unused months if you cancel within 30 days of the annual renewal date. Managed service fees are governed by the applicable service agreement.

3.5 Late Payment

Accounts with overdue balances may have platform access suspended until payment is received. Outstanding balances accrue interest at 1.5% per month.

4. Acceptable Use

You agree not to:

• Submit false, inaccurate, or fraudulent warranty claim documentation through ClaimIQ
• Use ClaimIQ to submit claims for repairs that were not performed
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform
• Access or attempt to access other users' accounts or data
• Use ClaimIQ for any unlawful purpose or in violation of Ford Motor Company's dealer agreement
• Introduce malware, viruses, or malicious code into the platform
• Scrape, crawl, or data-mine the platform without written permission
• Resell, sublicense, or white-label ClaimIQ services without written permission
• Use ClaimIQ for non-Ford, non-Lincoln warranty programs

5. Intellectual Property

5.1 ClaimIQ IP

The ClaimIQ platform, including all software, algorithms, AI models, training content, scoring logic, UI design, and documentation, is the exclusive property of EchoDial LLC. These Terms grant you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose during your subscription term.

5.2 Your Data

All repair order data, VIN data, claim documentation, and dealership information you submit to ClaimIQ ("Your Data") remains your property. You grant ClaimIQ a limited license to process Your Data to deliver our services. We do not claim ownership of Your Data.

5.3 Feedback

If you provide feedback, suggestions, or ideas regarding ClaimIQ, you grant us a royalty-free, perpetual license to use that feedback to improve our products and services.

6. Disclaimers

6.1 Not Legal or Accounting Advice

CLAIMIQ IS NOT A LICENSED ATTORNEY, CERTIFIED PUBLIC ACCOUNTANT, OR LICENSED FINANCIAL ADVISOR. NOTHING PROVIDED BY CLAIMIQ CONSTITUTES LEGAL, ACCOUNTING, TAX, OR FINANCIAL ADVICE. CONSULT QUALIFIED PROFESSIONALS FOR SUCH ADVICE.

6.2 No Guarantee of Claim Approval

CLAIMIQ DOES NOT GUARANTEE THAT ANY FORD OR LINCOLN WARRANTY CLAIM WILL BE APPROVED, PAID, OR ACCEPTED BY FORD MOTOR COMPANY. FORD MOTOR COMPANY RETAINS SOLE AND ABSOLUTE DISCRETION OVER ALL WARRANTY CLAIM APPROVAL DECISIONS. DENIAL OF ANY CLAIM BY FORD MOTOR COMPANY DOES NOT CONSTITUTE A BREACH OF THESE TERMS OR ANY SERVICE AGREEMENT BY CLAIMIQ.

6.3 Platform Availability

THE CLAIMIQ PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAY MODIFY, SUSPEND, OR DISCONTINUE THE PLATFORM AT ANY TIME WITH REASONABLE NOTICE.

6.4 AI Accuracy

ClaimIQ's AI features (including the 3C Coach, Risk Scorer, and Appeal Engine) are tools to assist warranty administrators — not replacements for human judgment. AI-generated suggestions may contain errors. You are solely responsible for reviewing all claim documentation before submission to Ford Motor Company.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLAIMIQ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL CLAIMIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You agree to indemnify, defend, and hold harmless ClaimIQ, EchoDial LLC, and their officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your submission of false or fraudulent warranty claim documentation; (c) your violation of any Ford dealer agreement or warranty policy; or (d) your infringement of any third-party rights.

9. Term and Termination

9.1 Term

These Terms are effective from the date you create a ClaimIQ account and continue until your account is terminated.

9.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

9.3 Termination by ClaimIQ

ClaimIQ may terminate your account and access to the platform immediately for material breach of these Terms, or with 30 days' notice for any other reason.

9.4 Effect of Termination

Upon termination, your license to use the platform ends. Your data is retained for 90 days and then permanently deleted, subject to legal retention requirements. Sections 5, 6, 7, 8, 10, 11, and 12 survive termination.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in Pinellas County, Florida, under the rules of the American Arbitration Association. The prevailing party shall be entitled to reasonable attorneys' fees. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and emailing your account address at least 14 days before changes take effect. Your continued use of ClaimIQ after the effective date constitutes acceptance of the updated Terms.

12. Miscellaneous

Entire Agreement. These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and ClaimIQ.

Severability. If any provision is found unenforceable, the remaining provisions remain in full force.

Waiver. Failure to enforce any provision is not a waiver of our right to enforce it in the future.

Assignment. You may not assign these Terms without ClaimIQ's prior written consent. ClaimIQ may assign these Terms in connection with a merger, acquisition, or sale of assets.
